Terms of Service

1. Acceptance of terms

By accessing or using Squadroom (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). These Terms apply to all visitors, registered users, and customers of the Squadroom platform, dashboard, and associated integrations.

If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

2. Description of service

Squadroom provides a web application for provisioning, managing, and monitoring teams of autonomous AI agents. The service includes a dashboard for monitoring, secure webhook integrations with platforms like Telegram, and task management tools.

Squadroom operates as an infrastructure and orchestration layer. We do not provide the underlying foundation language models (e.g., OpenAI, Anthropic) or the API keys required to access them. You are solely responsible for providing the instructions, API keys, and context required for your agents to operate.

3. Subscriptions and 'Bring Your Own AI' (BYOK) billing

Squadroom subscriptions are billed monthly or annually in advance. Your subscription fee covers access to the Squadroom dashboard, database usage, and state management.

Important: Squadroom operates entirely on a "Bring Your Own Key" (BYOK) billing model. The costs associated with AI model token usage (such as processing input/output tokens through Claude, GPT-4, or other models) are billed directly to you by your respective third-party AI providers. These usage costs are entirely separate from, and not included in, your Squadroom subscription. We do not mark up or directly process token usage fees.

Subscriptions carry a 7-day money-back guarantee. If you request a refund within 7 days of a subscription payment, we refund that payment in full. Outside that window, subscription fees are non-refundable, except where explicitly mandated by local law. Research credit packs are refundable only while the purchased credits remain unspent. 4. Account registration and security

To use Squadroom, you must register for an account via our secure portal. You agree to provide accurate, current, and complete registration information. You are entirely responsible for maintaining the confidentiality of your account credentials and third-party API keys stored within your workspace.

You agree to immediately notify Squadroom of any unauthorized use of your account or any other breach of security. Squadroom cannot and will not be liable for any loss or damage arising from your failure to comply with these security obligations.

5. Acceptable use policy

You agree not to use the Platform to:

  • Violate any local, state, national, or international law or regulation.
  • Generate, distribute, or facilitate the transmission of spam, phishing attempts, or abusive content.
  • Attempt to bypass, exploit, or circumvent the platform's security measures, rate limits, or database access rules.
  • Use agents to conduct unauthorized penetration testing or malicious scraping of third-party platforms.

We reserve the right to immediately suspend or terminate accounts that violate this Acceptable Use Policy, without refund or prior notice.

6. Strict prohibition on competitive development

By accessing Squadroom, you explicitly agree that you will not reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying orchestration logic, or AI integration patterns of the Platform.

Furthermore, you are strictly prohibited from using the Platform, its features, or its interface concepts to develop, build, or train a product or service that competes directly or indirectly with Squadroom.

7. Limitation of liability and API disclaimers

Squadroom is provided on an "as-is" and "as-available" basis. While our infrastructure is designed for high availability, we do not warrant that the service will be uninterrupted or error-free.

Third-Party Liability: Because Squadroom relies on third-party foundation models (which you supply via API keys), we expressly disclaim any liability for hallucinations, inaccurate outputs, API downtime, rate-limiting, or unexpected token costs generated by those third-party providers. You are solely responsible for monitoring your agent outputs and your third-party API billing limits.

In no event shall Squadroom's aggregate liability for any claims arising out of or relating to these Terms exceed the total amount you paid to Squadroom for the platform subscription in the twelve (12) months immediately preceding the claim.

8. Termination

Squadroom reserves the right to terminate or suspend your access to the Platform at any time, for any reason, including without limitation your breach of these Terms. Upon termination, your right to use the Platform will immediately cease.

You may terminate your account at any time via your dashboard settings. Account termination does not relieve you of any obligations to pay outstanding subscription fees or third-party AI provider costs incurred prior to termination.
